Welcome to the Dealership ERP platform (the “Platform”). These Terms of Use (“Terms”) govern your access to and use of our website and software services. By accessing this website or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
1. About the Platform
The Platform is a cloud-based, multi-tenant Dealership ERP solution designed to assist automotive dealerships with:
- Vehicle stock and inventory management
- Lead and enquiry management
- Customer relationship management (CRM)
- Purchase and finance enquiries
- Invoicing, billing, and administration
- Reporting and dashboards
The Platform integrates with selected third-party services, including vehicle marketplaces, finance providers, accounting systems (such as Xero and Sage), and communication tools including email and WhatsApp.
2. Eligibility and Access
You may only use the Platform if you are authorised to act on behalf of a dealership or business entity. You are responsible for ensuring that all users accessing the Platform under your account comply with these Terms.
3. Account Security
You are responsible for safeguarding your login details and for all activity that occurs under your account. Please notify us immediately if you suspect unauthorised access.
4. Acceptable Use
You agree not to:
- Use the Platform for unlawful, fraudulent, or misleading purposes
- Access or attempt to access data belonging to other dealerships or tenants
- Interfere with the security, availability, or performance of the Platform
- Upload malicious software or harmful content
5. Third-Party Services
The Platform relies on integrations with third-party services. We do not control and are not responsible for the availability, accuracy, or performance of these third-party services. Your use of such services is subject to their own terms and policies.
6. Communications (Email & WhatsApp)
The Platform allows dealerships to communicate with customers via email and WhatsApp.
You are solely responsible for:
- Obtaining all required customer consent
- Ensuring compliance with applicable marketing, privacy, and anti-spam laws
We act only as a technology provider and do not control message content sent by users.
7. Data Ownership
You retain ownership of all data you submit to the Platform. You grant us a limited licence to process and store such data solely for the purpose of providing and maintaining the Platform.
We may use anonymised and aggregated data for analytics and product improvement.
8. Availability and Changes
We strive to maintain reliable service availability but do not guarantee uninterrupted access. We may update, modify, or discontinue features from time to time.
9. Intellectual Property
All rights, title, and interest in the Platform, website, and related content remain the property of Shapeshift Pty Ltd. No rights are granted to you other than those expressly stated.
10. Payments and Subscription Fees
Access to the Platform is provided on a subscription basis and is subject to monthly fees, unless otherwise agreed in writing.
Subscription fees are payable in advance and must be settled on time in accordance with the agreed billing cycle. Failure to make payment when due may result in:
- Suspension of access to the Platform
- Restriction of features or data access
- Termination of the account if non-payment persists
We reserve the right to revoke or suspend access to the Platform, without liability, until all outstanding amounts are paid in full.
11. Limitation of Liability
To the maximum extent permitted by law, {{Company Name}} will not be liable for any indirect, incidental, or consequential damages, including loss of business, data, or profits, arising from your use of the Platform.
12. Termination
We may suspend or terminate access to the Platform if these Terms are breached or if required by law.
13. Governing Law
These Terms are governed by the laws of the Republic of South Africa.
